Welcome to the VELA website (the “Platform”), which is provided by VELA Integrated Logistics Company and its affiliates and subsidiaries (individually and collectively, “VELA“, “we“, “us” or “our“. Please read carefully this Privacy Policy, Terms of Use, and the other applicable rules, policies, and terms available at the Platform described below (collectively, these “Terms”), which govern the relationship and serve as an agreement between you and us and set forth the terms and conditions by which you may access and use the Platform and our related websites, services, applications, products, and content. For purposes of these Terms, “you” and “your” means you as a user of the Platform.

We offer a wide range of our Services based on these Terms that apply to all our activities in arranging logistics services or providing related services, such as, but not limited to, domestic transportation, freight management, custom clearances, warehousing, and any other kind of logistics services (collectively, the “Services”).

By accessing and/or visiting the Platform via the vela.com.vn domain and any of its subdomains, you signify your irrevocable acceptance of these Terms. If you disagree with these Terms, please do not visit or access the Platform.

1. Notice of purpose and consent

Unless otherwise provided by law:

  • The collection, use, storage, and sharing of personal data or other personal data processing activities, if any (hereinafter referred to as “Personal Data Processing”) will only be carried out. presented with Your consent, and

  • VELA will notify you of the purposes of Processing Personal Data as set out below. We limit the personal data we collect to the extent necessary for or in connection with the purposes outlined in this Personal Data Privacy Policy.

For online customers, the company may collect information such as IP address, type of operating system the customer is using, when and when the customer accesses the website, the location of Internet access, and the items customers have visited in the company’s site for the purpose of tracking usage, improving the website and more, possibly improving the customer experience.

2. Agreement to and Modifications to The Privacy Policy

2.1. You agree that by becoming a user of the Platform and/or any Services, You:

UNLESS OTHERWISE STATED BY LAW OR PRIVACY POLICY, VELA RESERVES THE RIGHT TO MODIFY, ADD, OR REMOVE ANY OF THE CONTENTS OF THE PRIVACY POLICY AT ANY TIME, AT ITS SOLE DISCRETION, WITH OR WITHOUT ADVANCE NOTICE. ANY SUCH MODIFICATION, ADDITION, OR DELETION OF THE PRIVACY POLICY WILL BE RELEASED ON THE PLATFORM IN ORDER FOR YOU TO REVIEW.

GIVEN THAT APART FROM SUCH PUBLICATION, VELA WILL BE UNDER NO RESPONSIBILITY TO NOTIFY OR INFORM YOU OF ANY SUCH MODIFICATION, ADDITION OR DELETION AND YOU SHALL BE LIABLE FOR ACCESSING THE PLATFORM TO APPRISE YOURSELF. IF AT ANY POINT YOU DO NOT AGREE WITH THE PRIVACY POLICY AT ANY PART, YOU MAY NOT ACCESS THE WEBSITE, UTILIZE ANY OF THE SERVICES, AND PROVIDE VELA WITH ANY OF YOUR PERSONAL DATA.

2.4. IF YOU CONTINUE TO ACCESS OR EMPLOY THE PLATFORM OR ANY SERVICES, YOU WILL BE DEEMED TO HAVE CONSENTED TO ALL TERMS OF THE PRIVACY POLICY.

The Platform may contain links to the websites, extensions, and applications of third parties. If You click on these links or enable these connections, third parties may be able to gather or disclose data about you. These third-party websites are not under VELA’s control, and VELA is not liable for their privacy policies or use of Your data. VELA encourages You to review the privacy terms of any third-party websites You visit.

4. The Personal Data VELA Collects

VELA may gather, utilize, preserve, and transfer the following categories of “General personal data” :

4.1. General Personal Data

(i) Last name, middle name and first name, other names (if any);

(ii) Phone number, email address;

(iii) Information related to service contract(s) at VELA;

(iv) Information about how to use VELA’s products and services, information about your preferences and interests;

(v) Other information required, or necessary for, or related to, the provision of our products and services;

(vi) Digital account information, personal data that reflects activities and activity history in cyberspace;

(vii) Other basic personal data according to the law that we judge to be necessary or must be collected according to the law or required by a competent state agency, for Data Processing Personal Data for the purposes set out in this Personal Data Privacy Policy. For these purposes, we will issue corresponding amendment(s) to this Personal Data Privacy Policy and make them publicly available on the Company’s official websites or in writing. Other suitable methods (if any).

4.2. Sensitive Personal Data:

Other sensitive personal data as prescribed by law that we judge to be necessary or that we must collect according to legal regulations or requests from competent state agencies, for Data Processing Individuals for the specified purposes set out in this Personal Data Privacy Policy. 5.1. VELA collects Data when You:

  • Register as a user on the Platform;
  • Submit a Request for Information (RFI);
  • Utilize the Platform’s Services;
  • Post reviews or feedback about products and Services;
  • Participate in online survey or contest;
  • Request that You receive marketing communications;
  • Communicate with the Customer Service team.

5.2. VELA may receive Personal Data about You from providers of analytics data, advertising and social media networks, and database companies.

5.3. The Platform may also employ standard technology known as “cookies” to store certain data that is used by VELA and its service providers for technical administration, research, and development. Cookies are small data files that are downloaded to Your computer whenever You visit a website. Your browser enables VELA to store data information (session-based IDs) on Your computer’s hard drive that recognizes the computer You are using.

5.4. “Cookies” enable VELA to:

  • Estimate the size and pattern of Platform usage;
  • Store information about Your preferences and enable VELA to personalize the Platform;
  • Speed up Your queries; and
  • Recognize when You return to the Platform.

5.5. You can disable “cookies” by deactivating them in the browser; however, if You do so, some areas of the Platform may not function effectively.

6. The Use of Your Data

6.1. VELA will only employ Your Data as permitted by the applicable laws.

For example:

  • Where VELA is required to do so by the Terms and Conditions or this Privacy Policy;

  • Where it is essential to VELA’s legitimate interests (or the legitimate interests of a third party) and where Your interests and fundamental rights are not in conflict with those interests;

  • Where VELA is obligated to abide by any applicable law.

6.2. Submitting Your Data expressly consents to its collection, storage, transfer, and handling. As a legal basis for processing such data, VELA does not rely on any other consent. You may withdraw Your consent at any time, subject to the terms of this Privacy Policy, by contacting VELA.

7. Collection, Use, and Disclosure of Your Data

7.1. VELA may use Your Data for the following reasons:

  • To register on the Platform as a user;

  • To manage Your account, including but not limited to, functions such as RFI, Quotation, Booking, Operations, and Billing made via the account;

  • To send You Data regarding the Platform, modifications to this Privacy Policy and Terms and Conditions, Your agreements, and/or other administrative information;

  • To send relevant details regarding logistics Services offered on the Platform and marketing communications that VELA believes may be of interest to You;

  • To allow You to participate in a survey;

  • To operate and protect the Platform and VELA’s business (including investigating, data analysis, testing, system maintenance, and data hosting);

  • To employ data analytics to enhance the Platform, Services, Communications, and customer experiences;

As permitted by the applicable law, to respond to legal and judicial processes and provide information to law enforcement agencies or in the context of an investigation into public safety matters.

7.2. VELA will only use Your Data for the purposes that VELA considers reasonable and compliant with the applicable laws. Please contact VELA to request for explanation of how the processing is compatible with the applicable laws if needed.

7.3. We may share your personal data with other individuals and organizations for the purposes stated in Section [8] above in accordance with legal regulations, including:

(i) Any individuals or organization involved in the appraisal and issuance of contracts; request to resolve your rights, complaints, requests or against you or in relation to you regarding any products or services provided by us;

(ii) Service providers (for example, information technology services; telecommunications; payment; consulting services (including legal, financial, investment, project management consulting services, etc.), investment trust/portfolio management; administrative office; printing; document-data storage; medical/health services (to provide services for appraisal purposes, information verification, etc.), our partners, agents, or contractors;

(iii) Any member company of our corporation (including their employees) where sharing of such personal data is necessary to provide, or support for or in connection with providing products or services to you;

(iv) Any credit institution, financial institution, financial consultant, broker, introducer or other intermediary (including their employees);

(v) State agencies or competent persons according to law;

(vi) Any person or organization with whom we or any member of our corporation are obliged or required to share information by law (including any rules, regulations, codes of conduct, or guidance binding or applicable to us or any member of our group of companies) or as required by the competent authorities in Vietnamese or foreign, recognized/recognized industry bodies, organizations, or organizations or associations of which we or any affiliated companies.

(vii) Any individual or organization of our group companies has obligations, responsibilities, or must share information under commitment(s) or agreements with other parties. Vietnamese or foreign state agencies, or recognized/recognized industry bodies, organizations, or associations of which we or any member of our group of companies is a member pellet;

(viii) Any other organizations or individuals as prescribed by law or permitted by relevant laws.

8. Data Security

8.1. Your Data is retained on VELA’s database servers or on servers hosted by third parties who have signed agreements requiring them to adhere to VELA’s Privacy Policy. VELA is equipped with technology that prevents unauthorized access to Your Data. Data centers have been built to be secure and protected against unauthorized access to Your Data by unauthorized individuals.

8.2. VELA maintains Your Data in an electronic format and on the devices of its employees. At times, Your Data may also be converted to physical form. VELA takes every precaution to protect Your Data both online and offline.

8.3. On a need-to-know basis, VELA makes Your Data accessible to its employees, agents, advisers, directors and/or partners, and third parties, and subjects only its employees to strict confidentiality obligations.

8.4. As part of VELA’s business functionality, VELA may retain and share Your Data with other Users (where required to do so) or the appropriate authorities as requested.

9. Data Retention

9.1. VELA conducts reasonable security practices and procedures and has a comprehensive, documented information security program/policies that contain managerial, technical, operational, and physical security control measures that are in proportion to the collected information and the nature of VELA’s business. VELA has implemented appropriate procedures to safeguard and prevent unauthorized access to Your Data collected online, maintain data security, and ensure its proper use.

9.2. Other than as expressly stated in this Privacy Policy, VELA will only disclose Your Data if required to do so by law, regulation, law enforcement agency, governmental official, or similar requirements. VELA takes Your right to privacy very seriously and discloses Your Data when VELA deems it necessary to protect its or others’ rights, to prevent harm to persons or property, to tackle fraud, or to enforce or apply the Terms of Use.

9.3. VELA shall not be liable for any breach of security caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, labor conflicts or problems, acts of war or civil unrest, riots, invasion, acts of terrorism, public utility failures, industry-wide shortages of labor or material, epidemics, pandemics (including COVID-19), lock-downs; the inability to the use of public and private transport such as railways, shipping lines, aircraft; the impossibility of the use of public or private telecommunications networks or internet service provider failures or delays.

10. Phishing

VELA is highly concerned about identity theft and the current method known as “phishing”. VELA’s priority is protecting You from identity theft by securing your data. VELA does not and will never request Your PIN or password in an unsolicited or non-secure e-mail or telephone communication. Please refrain from providing such data via unsecured channels.

11. Your Legal Rights

You have the right to:

  • Request access to Personal Data used or processed directly or indirectly by VELA.

  • Request corrections to Your Data held by VELA.

  • Request removal of Your Information, if feasible under specific legal reasons that will be communicated to You at the time of Your request, if applicable.

  • Refuse the processing of Your Data where VELA is relying on a legitimate interest (or that of a third party).

  • Request restriction of processing of Your Information.

  • Request that Your Data be transferred to another user or a third party. Note that this right only applies to automated data for which You have consented to VELA’s use or for which VELA has used the Data to carry out a contract with You.

  • Withdraw authorization at any time when VELA relies on it to process Your Data. Nonetheless, this will not affect the legality of any processing performed prior to that.

12. Termination of Access

12.1. Regardless of anything contrary to the Statement about Privacy Policy or Terms of Use:

  • If You violate or fail to comply with any provision of the Privacy Statement or Terms of Use;

  • Where You violate applicable law;

  • If You upload to the Platform any information or data that is fraudulent, untrue, inaccurate, not current, or incomplete at the time it is uploaded, or VELA has reasonable grounds to suspect that such information or data is false, inaccurate, or incomplete;

  • Where a third party reports a violation of any of its rights due to Your use of the Platform and/or Services;

  • If VELA has reason to suspect unlawful, fraudulent, unethical, or abusive activity; and

  • Where VELA, in its sole discretion, believes that Your actions are causing or may cause legal liability for other users and/or VELA, or are contrary to the interests of VELA, the Platform, VELA’s Intellectual Property, and/or Your Data.

12.2. VELA shall have the right to:

  • Terminate the right of access/usage of such user to the Platform and the Services;

  • Remove such non-compliant, fraudulent, untrue, inaccurate information/data from the Platform;

  • Deactivate the account of such defaulting You;

  • Investigate and take appropriate action against the user for any such alleged breach; and

  • File a complaint with or report any illegal activity to the appropriate Governmental Authority.

13. Outbound Transfer of Personal Data

To comply with the law or contractual agreement(s), or for legitimate business purposes, we may be required to transfer your personal data abroad. In doing this, we will ensure that your personal data is protected to the extent appropriate and necessary to maintain its security. Such transfers of personal data abroad will be carried out under applicable legal regulations.
